Governance
Defence Housing Australia (DHA) is a Government Business Enterprise (GBE). DHA report to two shareholder Ministers - the Minister for Defence and the Minister for Finance and Deregulation.
The DHA Board comprises nine directors:
- a Chairman appointed by the Shareholder Ministers;
- four directors with expertise in residential property, real estate, building, social planning or finance;
- three directors nominatred respectively by the Chief of the Defence Force, and the Secretaries of the Departments of Defence, and Finance and Administration; and
- the Managing Director of DHA (also the Chief Executive Officer) appointed by the Board and who is the only Executive Director.
The Board is responsible for ensuring good corporate governance, determining and approving corporate strategy and providing guidance and oversight to senior management, through:
- Approving and reviewing the overall business strategies, significant policies and structure of the organisation;
- Appointing the Managing Director (section 47 of the DHA Act) following consultation with Shareholder Ministers in accordance with the Governance Arrangements for Commonwealth Government Business Enterprises;
- Ensuring that it is carrying out the tasks that have been delegated to it;
- Ensuring it has carried out the tasks it has reserved for itself;
- Approving strategic alliances;
- Monitoring organisational perfomance against targets;
- Ensuring compliance with statutory, fiscal and social responsibilities;
- Ensuring business risks are appropriately identified and managed;
- Determining key policies that impact on the Authority's activities; and
- Monitoring the management and performance of the organisation in meeting its stated objectives and oligations as a public body.
The Managing Director reports to the Board and is responsible for the day-to-day running of DHA.
Reporting to the Managing Director is an Executive Management group which oversees all areas of the business.
